Terms of sale and delivery for Mindzeed
This is a translation of the Danish version. In case of any discrepancy, the Danish version is binding.
These terms of sale and delivery apply to all agreements between Mindzeed ApS and the customer regarding use of Mindzeed's online training platform. Effective from 1 January 2020.
1. Subscriptions
On purchasing a subscription, the customer receives a limited, non-exclusive and non-transferable right to use the platform. The right of use applies solely to the customer's internal purposes and may not be resold or transferred to third parties.
2. Service objectives
Mindzeed strives for stable operation of the platform. Planned maintenance is announced with reasonable notice. Mindzeed is not liable for downtime caused by circumstances beyond our control.
3. Upgrades
Mindzeed continuously improves the platform. Continued use of the service is subject to acceptance of updates and changes.
4. Support
Support requests should be sent to support@mindzeed.com via the customer's system administrator. We aim to respond within a reasonable time.
5. Prices and payment
Licences are paid in advance. Price changes are announced with at least 3 months' notice. Payment terms are 8 days net. VAT is added according to applicable rules. In the event of non-payment after three reminders, Mindzeed may suspend access. Prepaid licences are non-refundable.
6. Free trial
When using a free trial, all data is deleted after the trial period unless the customer takes out a subscription.
7. Duration and termination
Subscriptions renew automatically. Termination must be made in writing with at least 3 months' notice and requires written confirmation from Mindzeed.
8. Warranties
The customer warrants that the platform is used in accordance with applicable law. Mindzeed is not liable for content provided by third parties.
9. External links
The platform may contain links to third-party websites. Mindzeed is not responsible for content or services on such sites.
10. Disclaimer
Mindzeed makes no warranties as to specific results or the accuracy of the content. The platform is provided "as is".
11. Data protection
Mindzeed processes personal data in accordance with the GDPR. A data processing agreement is entered into between the parties where required.
12. Assignment
Mindzeed may assign rights and obligations to third parties. The customer may not assign the agreement without Mindzeed's written consent.
13. Intellectual property rights
All intellectual property rights to the platform and its content belong to Mindzeed. The customer acquires no ownership rights through use of the service.
14. Limitation of liability
Mindzeed's total liability is limited to the higher of €5,000 or 12 months' licence fees. Mindzeed is not liable for indirect losses.
15. Confidentiality
Both parties undertake to treat confidential information about the other party as confidential.
16. Governing law and venue
The agreement is governed by Danish law. Any disputes shall be settled by the Danish courts.
